Terms of Service

Version 1.0 Effective Date: June 10, 2026 Operated by uDriveus, Inc. (“uDriveus”)

These Terms of Service (“Terms”) govern access to and use of the UDriveus platform, website, mobile applications, and related services (collectively, the “Platform”) provided by UDriveus, Inc. (“uDriveus,” “Company,” “we,” “our,” or “us”).

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms.

1. Overview of Services

UDriveus operates an online marketplace that connects travelers, visitors, guests, and other users seeking transportation-related services (“Guests”) with independent drivers (“Drivers”).

uDriveus does not provide transportation services.

Drivers are independent individuals who determine their own availability and may accept or reject booking requests at their discretion.

uDriveus is not an employer, transportation carrier, taxi service, limousine company, tour operator, travel agency, or common carrier.

2. Eligibility

You must:

  • Be at least 18 years old.
  • Have legal capacity to enter binding agreements.
  • Provide accurate and complete information.
  • Maintain updated account information.

Additional eligibility requirements may apply to Drivers.

3. Account Registration

Users must create an account to access certain Platform features.

You agree to:

  • Maintain account security.
  • Keep login credentials confidential.
  • Notify us of unauthorized access.
  • Accept responsibility for activity occurring under your account.

4. Identity Verification

To promote trust and safety, uDriveus may require identity verification.

We may use third-party verification providers, including Persona and similar vendors.

Users agree that:

  • Verification may require submission of government-issued identification.
  • Verification does not guarantee another user’s identity, safety, honesty, qualifications, or conduct.
  • uDriveus may suspend or terminate accounts that fail verification requirements.

5. Driver Requirements

Drivers represent and warrant that they:

  • Possess all licenses required by applicable law.
  • Maintain required insurance coverage where applicable.
  • Provide accurate onboarding information.
  • Comply with federal, state, and local laws.
  • Maintain safe and lawful driving practices.

Drivers remain solely responsible for their conduct, vehicle condition, insurance obligations, and legal compliance.

6. Guest Responsibilities

Guests agree to:

  • Provide accurate booking information.
  • Behave respectfully and lawfully.
  • Comply with driver instructions relating to safety.
  • Avoid conduct that may damage vehicles or interfere with services.

7. Marketplace Relationship

uDriveus provides a technology platform only.

uDriveus does not:

  • Control the actions of Drivers or Guests.
  • Guarantee availability of Drivers.
  • Guarantee trip completion.
  • Supervise transportation services.

Any agreement for transportation-related services exists directly between the Driver and Guest.

8. Fees and Payments

Platform fees, booking fees, service fees, processing fees, and other charges may apply.

Payments may be processed by third-party payment processors.

Users agree that:

  • Payment processors may impose separate terms.
  • uDriveus is not responsible for processor errors or outages.
  • Fees may be modified upon reasonable notice.

9. Cancellations and Refunds

Cancellation and refund policies may vary based on booking circumstances.

uDriveus reserves the right to determine eligibility for refunds, credits, or adjustments where permitted by law.

10. Prohibited Activities

Users may not:

  • Provide false information.
  • Circumvent verification procedures.
  • Create fraudulent accounts.
  • Violate laws or regulations.
  • Harass, threaten, discriminate against, or abuse others.
  • Attempt unauthorized access to the Platform.
  • Interfere with Platform operation.

11. User Content

Users retain ownership of content they submit.

By submitting content, users grant uDriveus a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content for Platform operations and business purposes.

12. Safety and Trust

uDriveus may investigate complaints and safety concerns.

We reserve the right to:

  • Suspend accounts.
  • Restrict access.
  • Remove content.
  • Terminate users.

Such actions may occur without prior notice when necessary to protect users, the Platform, or the public.

13. Insurance Disclaimer

uDriveus does not provide automobile insurance unless explicitly stated in a separate written agreement.

Drivers are responsible for maintaining any legally required insurance.

Guests are responsible for obtaining any travel, health, or other insurance they deem appropriate.

14. No Warranty

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDRIVEUS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE DO NOT GUARANTEE:

  • PLATFORM AVAILABILITY.
  • UNINTERRUPTED SERVICE.
  • ERROR-FREE OPERATION.
  • USER CONDUCT.
  • TRIP OUTCOMES.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDRIVEUS SHALL NOT BE LIABLE FOR:

  • PERSONAL INJURY.
  • PROPERTY DAMAGE.
  • VEHICLE DAMAGE.
  • LOST PROFITS.
  • LOST DATA.
  • INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  1. $100 USD; OR
  2. THE AMOUNT PAID TO UDRIVEUS BY THE USER DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

16. Indemnification

Users agree to defend, indemnify, and hold harmless UDriveus, its officers, directors, employees, contractors, shareholders, and affiliates from claims arising from:

  • User conduct.
  • Violations of these Terms.
  • Violations of law.
  • Interactions between Drivers and Guests.

17. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration on an individual basis.

Class actions and class arbitrations are waived to the fullest extent permitted by law.

Nothing prevents either party from seeking injunctive relief where appropriate.

18. Governing Law

These Terms shall be governed by the laws of the State of California without regard to conflict-of-law principles.

19. Changes to Terms

uDriveus may modify these Terms at any time.

Continued use of the Platform after modifications become effective constitutes acceptance of the revised Terms.
